# TERMS AND CONDITIONS

## 1. Introduction

These Terms and Conditions govern access to and use of the Aulisco website, platform, applications, reports, audit tools, scoring systems, registries and related services, collectively referred to as the “Platform”.

The Platform is operated under the registered business name **GG AUDIT**, Registration Number **B44199**, registered in **Cyprus** on **12 July 2016**, contact email **company@aulisco.com**, referred to in these Terms as “Aulisco”, “we”, “us” or “our”.

By accessing, registering for or using the Platform, you confirm that you have read, understood and agreed to these Terms.

If you do not agree with these Terms, you must not access or use the Platform.

## 2. Nature of the Platform

Aulisco provides technology-based services that may include:

* organizational, financial, operational, cybersecurity, blockchain, smart-contract and compliance assessments;
* automated and human-assisted risk analysis;
* continuous or periodic monitoring;
* risk scores, audit scores and compliance indicators;
* verification of publicly available information;
* publication and consultation of risk notices, regulatory warnings and blacklist records;
* submission and evaluation of reports concerning organizations, websites, projects, wallets, tokens or other identifiable entities;
* generation of reports, certificates, badges, summaries and supporting documentation;
* access to historical audit and monitoring information.

The specific features available may depend on the selected service, subscription, account type, jurisdiction or contractual arrangement.

## 3. No Financial, Legal or Investment Advice

The Platform and all reports, scores, notices, records and other materials provided through it are for informational, analytical and risk-assessment purposes only.

Nothing available through Aulisco constitutes:

* financial advice;
* investment advice;
* legal advice;
* tax advice;
* accounting advice;
* regulatory approval;
* a recommendation to purchase, sell or hold any asset;
* a guarantee of solvency, legality, security, performance or future conduct;
* an endorsement of any organization, individual, token, wallet, website, platform or project.

Users remain solely responsible for conducting their own due diligence and obtaining advice from qualified professionals before making financial, commercial, legal or investment decisions.

## 4. Audit and Score Limitations

Aulisco audits, analyses and scores are based on the information, evidence, systems, code, records and access available at the time of the assessment.

An audit or favourable score does not guarantee that:

* the audited entity is free from fraud, misconduct, vulnerabilities or regulatory violations;
* software or smart contracts contain no defects;
* information supplied by an audited entity is complete or accurate;
* the audited entity will continue to satisfy the assessed criteria;
* future incidents, losses, insolvency, cyberattacks or regulatory actions will not occur;
* third parties will accept or rely on the audit outcome.

Scores and classifications may change when new information becomes available, monitoring results change, vulnerabilities are discovered or relevant circumstances develop.

Aulisco may suspend, modify, withdraw or invalidate a score, certificate, badge or report where there are reasonable grounds to question its continued accuracy.

## 5. Public Records, Blacklist and Risk Notices

The Platform may contain records relating to regulatory warnings, sanctions, reported misconduct, suspected fraud, cybersecurity incidents, disputed activities or other risk-related information.

Records may be based on:

* official regulatory publications;
* court or administrative documents;
* law-enforcement notices;
* sanctions lists;
* public registers;
* reliable news or professional sources;
* documented reports submitted by users;
* technical investigations;
* blockchain or website analysis;
* information supplied by affected parties.

A listing on the Platform does not automatically mean that a person or organization has been convicted of a criminal offence or definitively found liable for misconduct.

Each record should be interpreted according to its stated source, status, evidence level and verification classification.

Aulisco may use classifications such as:

* Official Regulatory Warning;
* Confirmed Public Record;
* Verified Technical Finding;
* Under Review;
* User-Submitted Report;
* Disputed Record;
* Resolved or Archived.

Users must not describe an entity as criminal, fraudulent or guilty solely because it appears in an unverified or pending Aulisco record.

## 6. Reports Submitted by Users

Users may be permitted to submit information, complaints, evidence or reports concerning organizations, individuals, websites, wallets, tokens, transactions or projects.

By submitting a report, the user confirms that:

* the information is provided honestly and in good faith;
* the report is not knowingly false, misleading or incomplete;
* the user has the lawful right to provide the submitted information;
* supporting documents have not been unlawfully obtained;
* the report is not submitted for harassment, retaliation, extortion, competitive sabotage or reputational abuse;
* personal data included in the report is relevant and reasonably necessary;
* the report does not infringe third-party rights.

Submission does not guarantee publication, investigation or acceptance.

Aulisco may reject, redact, restrict, archive, investigate, classify or remove any submitted material at its discretion and in accordance with applicable law.

Aulisco may contact the reporting user for clarification or additional evidence.

## 7. Right of Reply, Correction and Review

An individual or organization identified in a Platform record may request:

* access to the relevant public record;
* correction of materially inaccurate information;
* inclusion of a formal response;
* review of the classification or status;
* removal of content where legally required;
* restriction of publication while a legitimate dispute is reviewed.

* the requester’s identity and authority to act;
* the relevant record or URL;
* the information being challenged;
* the reason the information is inaccurate or unlawful;
* supporting evidence;
* the requested correction or action.

Aulisco may request additional information to verify identity, authority and the merits of the request.

Submitting a request does not guarantee removal. Records may remain available where publication is lawful, accurate, relevant and justified by legitimate public-interest or risk-prevention purposes.

## 8. Eligibility and Account Registration

To create an account or purchase services, users must:

* have legal capacity to enter into a binding agreement;
* provide accurate and current information;
* maintain the confidentiality of account credentials;
* use the account only for lawful purposes;
* promptly notify Aulisco of unauthorized access or suspected compromise.

Business users confirm that they have authority to act on behalf of the relevant organization.

Users are responsible for all activities performed through their accounts unless caused directly by a security failure attributable to Aulisco.

Aulisco may require identity, company or authority verification before providing certain services.

## 9. Acceptable Use

Users must not use the Platform to:

* violate applicable laws or regulations;
* submit false, defamatory, fraudulent or fabricated reports;
* impersonate another person or organization;
* interfere with Platform security or availability;
* gain unauthorized access to accounts, systems or data;
* introduce malware, harmful code or automated attacks;
* scrape, copy or extract Platform data without authorization;
* reverse engineer protected Platform components;
* evade access restrictions or usage limits;
* manipulate scores, reviews, evidence or audit outcomes;
* use Aulisco branding or certificates in a misleading manner;
* represent an expired, suspended or withdrawn audit as active;
* resell Platform content without written authorization;
* use Platform data for harassment, discrimination or unlawful profiling;
* publish confidential reports without permission;
* falsely claim endorsement, authorization or regulatory approval by Aulisco.

Aulisco may suspend or terminate access where it reasonably believes these rules have been violated.

## 10. Audit Cooperation

Clients requesting an audit or assessment must:

* provide accurate, complete and current information;
* disclose material facts relevant to the assessment;
* provide the agreed level of system, code, document or personnel access;
* identify known incidents, vulnerabilities, disputes and regulatory matters;
* avoid modifying evidence or systems to mislead the assessment;
* promptly inform Aulisco of material changes during the audit process.

Aulisco may suspend or terminate an audit where the client fails to cooperate, supplies unreliable information, obstructs verification or attempts to influence the outcome improperly.

## 11. Reports, Certificates and Badges

Reports, certificates and badges issued by Aulisco:

* apply only to the defined scope and assessment period;
* may be subject to expiry dates;
* may contain conditions, exclusions or unresolved findings;
* must not be altered, edited or presented out of context;
* may not be transferred to another entity, product, website, wallet or project;
* may be revoked if obtained through inaccurate or incomplete information.

The absence of a negative finding does not constitute confirmation that no undiscovered problem exists.

Clients may use Aulisco certificates or badges only in accordance with the applicable licence, branding rules and current audit status.

## 12. Continuous Monitoring

Where continuous monitoring is provided, Aulisco may perform periodic, automated, random or event-triggered checks.

Monitoring may depend on third-party systems, public data sources, network availability, APIs and technical integrations.

Aulisco does not guarantee uninterrupted monitoring or immediate detection of every event, incident, vulnerability or regulatory change.

Clients remain responsible for maintaining their own security, compliance and incident-response procedures.

## 13. Fees and Payments

Certain Platform features may require payment.

Prices, billing periods, taxes and service scope will be displayed before purchase or stated in a separate proposal, order form or service agreement.

Unless otherwise stated:

* fees are payable in advance;
* taxes and transaction costs are the client’s responsibility;
* work may begin only after payment confirmation;
* overdue payments may result in suspension of services;
* fees for completed or commenced professional work are non-refundable, except where required by law or expressly agreed otherwise.

Subscription services may renew automatically where this is clearly disclosed during purchase.

Users may cancel future renewal through their account or by contacting **[BILLING EMAIL ADDRESS]**.

Any mandatory consumer cancellation or withdrawal rights remain unaffected.

## 14. Third-Party Services and Data Sources

The Platform may use or reference third-party services, blockchains, APIs, websites, registries, databases, hosting providers and data sources.

Aulisco does not control and is not responsible for:

* the availability of third-party systems;
* changes to third-party data;
* third-party errors or omissions;
* content hosted on external websites;
* actions taken by regulators, exchanges, banks, blockchain networks or service providers.

Links to third-party services are provided for convenience or evidentiary reference and do not constitute endorsement.

## 15. Intellectual Property

The Platform and its original content, including software, databases, methodologies, scoring models, designs, trademarks, reports, graphics, documentation and branding, are owned by or licensed to Aulisco.

Users receive a limited, non-exclusive, non-transferable and revocable right to access and use the Platform for its intended purpose.

Unless expressly authorized in writing, users may not:

* reproduce or redistribute substantial Platform content;
* copy Aulisco databases or scoring methodologies;
* create derivative products based on protected Platform materials;
* remove copyright, trademark or attribution notices;
* use Aulisco branding in a manner suggesting unauthorized affiliation.

Clients retain ownership of their pre-existing materials. Where necessary to perform a service, the client grants Aulisco a limited licence to access, analyse, reproduce and process those materials.

## 16. Confidentiality

Confidential information disclosed during an audit or professional engagement will be handled according to the applicable agreement and law.

Aulisco may disclose confidential information where:

* required by law, court order or competent authority;
* necessary to protect users, third parties or the Platform;
* necessary to investigate suspected fraud or unlawful activity;
* authorized by the disclosing party.

Publicly available information, independently developed information and information lawfully obtained from third parties will not normally be treated as confidential.

## 17. Privacy and Personal Data

Personal data is processed in accordance with the Aulisco Privacy Policy and applicable data-protection laws.

Users must review the Privacy Policy for information about:

* categories of personal data collected;
* processing purposes and legal bases;
* retention periods;
* data sharing;
* international transfers;
* cookies and tracking technologies;
* data-subject rights;
* contact details for privacy requests.

Where a business user uploads personal data to the Platform, that user is responsible for ensuring that the data has been collected and disclosed lawfully.

## 18. Platform Availability

Aulisco aims to maintain reliable Platform availability but does not guarantee uninterrupted or error-free access.

The Platform may be temporarily unavailable due to:

* maintenance;
* security updates;
* infrastructure failures;
* third-party outages;
* cyber incidents;
* legal or regulatory requirements;
* events outside Aulisco’s reasonable control.

Aulisco may modify, suspend or discontinue features where reasonably necessary.

## 19. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

Aulisco does not warrant that:

* all information is complete, current or error-free;
* every risk, vulnerability or unlawful activity will be detected;
* reports will be accepted by regulators, courts, banks, investors or third parties;
* use of the Platform will produce a specific commercial, financial or legal result;
* third-party data will remain available or accurate.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

## 20. Limitation of Liability

To the fullest extent permitted by applicable law, Aulisco will not be liable for indirect, incidental, consequential, special or punitive losses, including:

* loss of profits;
* loss of revenue;
* loss of business opportunity;
* loss of goodwill;
* loss of digital assets;
* loss of data;
* reputational damage;
* decisions made in reliance on Platform information.

Aulisco is not responsible for losses caused by:

* user decisions based on reports or scores;
* inaccurate information supplied by clients or third parties;
* undisclosed vulnerabilities or misconduct;
* blockchain transactions;
* market movements;
* unauthorized account use;
* third-party services or data sources;
* events outside Aulisco’s reasonable control.

Where liability cannot be excluded, Aulisco’s total aggregate liability relating to a paid service will not exceed the amount paid by the user for that specific service during the twelve months preceding the event giving rise to the claim.

This limitation does not apply where liability cannot legally be limited, including liability for fraud, wilful misconduct or other mandatory statutory obligations.

## 21. Indemnification

To the extent permitted by law, users agree to indemnify and hold Aulisco harmless from claims, losses, liabilities, penalties and reasonable expenses arising from:

* unlawful use of the Platform;
* false or misleading submissions;
* infringement of third-party rights;
* misuse of reports, certificates or badges;
* breach of these Terms;
* information or materials supplied by the user.

## 22. Suspension and Termination

Aulisco may suspend, restrict or terminate an account or service where:

* these Terms are violated;
* payment obligations are not satisfied;
* unlawful, fraudulent or abusive conduct is suspected;
* continued access creates a security or legal risk;
* required by a competent authority;
* the user attempts to manipulate an audit or Platform record.

Where appropriate and legally required, Aulisco will provide reasons for the decision and information about available review procedures.

Users may stop using the Platform at any time and may request account closure, subject to legal retention obligations and outstanding contractual commitments.

## 23. Complaints

Complaints relating to the Platform or a purchased service may be sent to:

The complaint should include the user’s identity, the relevant service or record, a description of the issue and the requested resolution.

Aulisco will review complaints within a reasonable period and may request additional information.

## 24. Changes to These Terms

Aulisco may update these Terms to reflect:

* changes to the Platform;
* new services or business models;
* legal or regulatory developments;
* security requirements;
* operational changes.

The updated version will be published on the Platform with a revised “Last updated” date.

Where changes materially affect registered users or existing paid services, reasonable advance notice will be provided where required by law.

Continued use after the effective date of updated Terms constitutes acceptance of the revised Terms, except where explicit acceptance is legally required.

## 25. Governing Law and Jurisdiction

These Terms are governed by the laws of **Cyprus**, without prejudice to any mandatory rights available to consumers under the laws of their country of residence.

Any dispute arising from these Terms will be subject to the jurisdiction of the competent courts of **Cyprus**, unless mandatory consumer-protection rules provide otherwise.

Before commencing formal proceedings, the parties should attempt to resolve the dispute through written communication in good faith.

## 26. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will remain in effect.

The invalid provision will be interpreted or replaced to the minimum extent necessary to make it enforceable while preserving its original purpose.

## 27. Entire Agreement

These Terms, together with the Privacy Policy, applicable order forms, service agreements and any expressly incorporated policies, constitute the agreement governing use of the Platform.

Where a separate written agreement has been signed for a specific professional service, that agreement will prevail in the event of conflict concerning that service.
